Welcome to www.vineoflifealchemy.com (the “Site”), operated by [Legal business name of Vine of Life Alchemy] (“Vine of Life Alchemy,” “we,” “us,” or “our”). These Terms & Conditions (the “Terms”) govern your access to and use of the Site and any products, programs, sessions, courses, memberships, digital downloads, and related content or services we provide (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility & accounts
You must be the age of majority in your province/territory (or have parental/guardian consent) to use the Services. You are responsible for keeping your account credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorized use.
3) Health, wellness & educational disclaimers
Our content and Services relate to awareness training, movement, yoga/meditation practices, and coaching. They are educational only and do not provide medical, psychological, physiotherapy, or other regulated health advice, diagnosis, or treatment. Always consult an appropriate licensed professional before starting or modifying any health, fitness, or wellness program, especially if you have injuries, conditions, or concerns. Use the Services at your own risk and stop any practice that causes pain, dizziness, or distress.
Nothing in the Services creates a doctor-patient, therapist-client, or other regulated professional relationship.
4) Purchases, pricing, and taxes
Prices are shown in Canadian dollars (CAD) unless noted. Applicable taxes will be added at checkout. We may change prices at any time (changes don’t affect already-completed purchases). We may refuse or cancel an order if fraud or misuse is suspected.
Payments. We use third-party payment processors (e.g., Stripe). We do not store full credit card numbers. By purchasing, you authorize the processor to charge your payment method for the total due.
Subscriptions (if offered). Some Services may auto-renew until you cancel. Renewal terms and how to cancel will be shown at sign-up and in your account or receipt email. Cancelling stops future charges; it doesn’t refund past charges except as stated below.
5) Bookings, cancellations & refunds
Sessions/appointments. You may reschedule with at least 24 hours’ notice (use the booking link or contact us). Late cancellations/no-shows may be charged up to the full session fee.
Digital products & courses. Because access is delivered instantly and the content is copyable, digital products and course enrollments are generally non-refundable once access is granted, except as required by law or if a specific satisfaction guarantee is explicitly stated on the product page.
Live programs/cohorts/events. We’ll specify refund or transfer terms on the event page; otherwise, withdrawals less than 7 days before the start are non-refundable.
Quebec & other consumer rights. Nothing in these Terms limits your non-waivable rights under applicable consumer protection laws (including Quebec’s Consumer Protection Act). Where a conflict exists, your statutory rights prevail.

6) License to use our content
We (or our licensors) own the Site and all content, including videos, audio, text, graphics, trademarks, logos, and course materials (“VLA Content”). Subject to your compliance with these Terms and payment of any fees, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use VLA Content for your own personal, non-commercial use.
You agree not to (and not to allow others to): copy, reproduce, record, download for redistribution, publicly perform, display, sell, resell, rent, stream to the public, share access, or create derivative works from VLA Content, except where we clearly permit it in writing (e.g., worksheets we label as shareable). All rights not expressly granted are reserved.
7) Your submissions & community conduct
If you submit comments, homework, testimonials, or other content (“User Content”):
You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that User Content in connection with operating and improving the Services.
You represent that you own the User Content or have the necessary rights to grant this license.
You are solely responsible for your User Content.
Do not upload or share anything unlawful, defamatory, harassing, hateful, pornographic, self-harm encouraging, or that infringes others’ rights; do not spam or attempt to bypass access controls; do not interfere with or disrupt the Services or other users.
We may remove or restrict content or access if we believe these Terms are violated.
8) Intellectual property concerns (notice-and-notice)
If you believe material on the Site infringes your copyright or other IP rights, send a notice to [legal@vineoflifealchemy.com] including: (a) description of the work, (b) link or location of the allegedly infringing material, (c) your contact info, and (d) a statement of your rights/authority. We follow a notice-and-notice approach and may forward your notice to the user who posted the material and request they respond or remove it.
9) Privacy; emails (CASL)
Your use of the Services is also governed by our Privacy Policy, which explains what we collect and why, how we use cookies/analytics, and your choices. If you opt in to marketing emails, we send them in accordance with Canada’s Anti-Spam Legislation (CASL). You can unsubscribe at any time using the link in our emails.
10) Third-party tools & links
We may link to third-party websites, platforms (e.g., YouTube, Zoom), or tools (e.g., analytics, email, payment, booking). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms and privacy policies.
11) Availability, changes & suspension
We aim for reliable access but do not guarantee the Services will be uninterrupted, timely, secure, or error-free. We may change, suspend, or discontinue any part of the Services at any time (e.g., to maintain or improve functionality), and we may limit access to some or all users where reasonably necessary.
12) Warranties & disclaimers
To the fullest extent permitted by law (and subject to Section 14 for Quebec):
The Services and VLA Content are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, quality, fitness for a particular purpose, durability, title, and non-infringement.
We do not warrant that practices discussed will achieve particular results. Individual outcomes vary, and your effort, context, and health status affect results.
13) Limitation of liability
To the fullest extent permitted by law (and subject to Section 14 for Quebec), Vine of Life Alchemy and its owners, directors, contractors, and partners are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages; loss of profits, revenue, data, goodwill; or personal injury arising from or related to your use of the Services. Our total liability for any claim is limited to the amount you paid for the Service giving rise to the claim in the 6 months before the event, or CAD $100, whichever is greater.
Nothing excludes liability that cannot legally be excluded (e.g., for death or bodily injury caused by our negligence where such exclusion is prohibited).
14) Quebec consumers
If you are a consumer residing in Quebec, these Terms do not limit your rights under the Quebec Consumer Protection Act and the Civil Code of Québec. Any disclaimer of legal warranties, limitations on remedies, or mandatory arbitration/class-action waivers do not apply to the extent they are prohibited in Quebec. In case of conflict, Quebec law prevails for Quebec consumers.
15) Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Vine of Life Alchemy and our owners, directors, contractors, and partners from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your User Content, or your misuse of the Services.
16) Governing law & venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflicts of laws. You and we agree to the exclusive jurisdiction of the courts located in British Columbia (or your local small-claims court, if applicable). If you are a Quebec consumer, Quebec law and courts apply.
17) Communications in electronic form
You consent to receive communications from us electronically (e.g., email, notices on the Site). Keep your contact information up to date.
18) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows when changes took effect. If we make material changes, we will take reasonable steps to notify you (e.g., posting a notice on the Site or emailing account holders). Continued use of the Services after changes means you accept the updated Terms.
19) Severability; no waiver; assignment
If any provision is found invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations without our written consent; we may assign these Terms as part of a reorganization or sale.
